1. Acceptance of Terms & AI Platform Notice
IMPORTANT AI PLATFORM NOTICE: This is an AI Agent building platform that enables creation, deployment, and monetization of artificial intelligence systems. By using this platform, you acknowledge the inherent risks and limitations of AI technology.
Welcome to Kuverto ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our AI Agent building platform located at kuverto.com and all related services, tools, and features (collectively, the "Platform").
By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you must not use our Platform.
AI Technology Acknowledgment: You understand that our Platform utilizes artificial intelligence technology, including large language models and machine learning systems, which may produce unpredictable, biased, inaccurate, or inappropriate outputs. You assume all risks associated with AI-generated content and interactions.
Commercial Use Notice: This Platform enables commercial deployment and monetization of AI agents. You are responsible for compliance with all applicable laws, regulations, and industry standards related to commercial AI systems.
2. Definitions
- "AI Agent"
- An artificial intelligence system created using our Platform that can interact with users, process information, and generate responses.
- "Builder" or "Creator"
- A user who creates, configures, or manages AI Agents on our Platform.
- "End User"
- An individual who interacts with AI Agents created by Builders.
- "AI-Generated Content"
- Any text, images, responses, or other content produced by AI systems through our Platform.
- "Monetization Features"
- Platform tools enabling Builders to charge fees, accept payments, or generate revenue from their AI Agents.
- "Knowledge Base"
- Documents, files, or data uploaded to train or configure AI Agents.
- "AI Flow"
- Automated workflows or processes created using our Platform's AI capabilities.
3. Platform Overview & AI Services
3.1 Platform Services
Kuverto provides a no-code platform enabling users to:
- Create AI Agents using natural language prompts
- Deploy AI Agents for public or private use
- Monetize AI Agents through integrated payment systems
- Manage user authentication and access controls
- Create automated AI workflows and processes
- Upload and manage knowledge bases for AI training
- Access analytics and performance metrics
3.2 Third-Party AI Services
Our Platform integrates with third-party AI providers including OpenAI, Microsoft Azure OpenAI, and others. Your use of AI features is subject to the terms and policies of these third-party providers in addition to these Terms.
3.3 Platform Evolution
We continuously improve our Platform and may add, modify, or discontinue features at any time. We will provide reasonable notice for material changes affecting your AI Agents or monetization capabilities.
4. User Accounts & Authentication
4.1 Account Requirements
- Age Requirement: You must be at least 18 years old to create monetized AI Agents
- Accurate Information: You must provide accurate, current, and complete account information
- Account Security: You are responsible for maintaining the confidentiality of your account credentials
- Account Responsibility: You are responsible for all activities under your account
4.2 Business Accounts
Business accounts for commercial AI Agent deployment require additional verification including business registration, tax identification, and compliance documentation.
4.3 Account Suspension
We may suspend or terminate accounts that violate these Terms, engage in prohibited activities, or pose risks to our Platform or users.
5. AI Agent Creation & Ownership
5.1 AI Agent Ownership
You retain ownership of AI Agents you create, including their configurations, prompts, and associated content. However, AI-generated outputs are subject to the limitations described in these Terms.
5.2 Creation Responsibilities
When creating AI Agents, you represent and warrant that:
- Your AI Agent complies with all applicable laws and regulations
- You have rights to all content used in training or configuring your AI Agent
- Your AI Agent does not infringe third-party intellectual property rights
- You will implement appropriate safety measures and content moderation
- You will provide clear disclosure that users are interacting with AI
5.3 Content Moderation Requirements
All AI Agents must implement content moderation to prevent generation of harmful, illegal, or inappropriate content. We reserve the right to disable AI Agents that fail to maintain adequate safety measures.
6. Monetization & Revenue Sharing
Revenue Sharing: Our platform enables monetization of AI Agents with transparent revenue sharing and integrated payment processing.
6.1 Monetization Features
- Usage-Based Pricing: Charge users per interaction, message, or time-based access
- Subscription Models: Implement recurring billing for AI Agent access
- One-Time Payments: Single payment for specific AI services or outputs
- Freemium Models: Offer basic free access with premium paid features
6.2 Revenue Sharing Model
Kuverto retains a platform fee from gross revenue generated through monetized AI Agents. Current fee structure:
- Standard Plan: Platform retains 10% of gross revenue
- Business Plan: Platform retains 5% of gross revenue
- Enterprise Plan: Custom revenue sharing available
6.3 Payment Processing
Payments are processed through third-party payment processors (Stripe, PayPal). You are subject to their terms and fee structures in addition to our platform fees.
6.4 Tax Responsibilities
You are solely responsible for all tax obligations related to revenue from your AI Agents, including income tax, sales tax, VAT, and any other applicable taxes.
6.5 Payout Terms
- Payout Schedule: Monthly payouts for balances over $50
- Verification Required: Identity and tax verification required for payouts
- Withholding: We may withhold payments for disputed transactions or compliance issues
7. User Content & AI-Generated Content
7.1 User-Provided Content
You retain ownership of content you upload, including prompts, knowledge base materials, and configurations. By uploading content, you grant us a license to process, store, and use such content to provide Platform services.
7.2 AI-Generated Content Ownership
Important: AI-generated content may not be eligible for copyright protection and ownership rights may be unclear under current law. You should not rely on ownership claims for AI-generated content.
7.3 Content Responsibilities
You are responsible for:
- Ensuring all uploaded content is legally obtained and properly licensed
- Implementing content moderation for AI-generated outputs
- Monitoring and removing inappropriate AI-generated content
- Complying with platform content policies
- Respecting third-party intellectual property rights
7.4 Content Removal
We reserve the right to remove content that violates these Terms, applicable laws, or our content policies without prior notice.
8. Prohibited Uses & AI Safety
Strict Enforcement: Violation of prohibited uses may result in immediate account termination and legal action.
8.1 General Prohibited Activities
You may not use our Platform for:
- Illegal activities or violation of applicable laws
- Harassment, abuse, or harm to individuals or groups
- Creation of malicious, deceptive, or fraudulent AI systems
- Violation of third-party intellectual property rights
- Unauthorized access to systems or data
- Distribution of malware, viruses, or harmful code
8.2 AI-Specific Prohibited Uses
Specifically prohibited AI applications include:
- Deepfakes: Creating deceptive audio, video, or image content
- Impersonation: AI Agents designed to impersonate real individuals without consent
- Misinformation: AI systems designed to spread false information
- Bias Amplification: AI systems that intentionally discriminate or promote bias
- Privacy Violation: AI systems designed to extract or exploit personal information
- Manipulation: AI designed to manipulate vulnerable populations
- Adult Content: AI systems generating sexual or adult content
- Violence: AI promoting violence, self-harm, or dangerous activities
8.3 Compliance Requirements
- Implement robust content filtering and safety measures
- Provide clear AI disclosure to end users
- Monitor AI outputs for harmful content
- Comply with industry AI ethics guidelines
- Report suspected misuse to our security team
8.4 Industry-Specific Restrictions
Additional restrictions apply to AI Agents used in:
- Healthcare: Medical advice, diagnosis, or treatment recommendations
- Financial Services: Investment advice, loan decisions, or financial planning
- Legal Services: Legal advice or attorney-client privileged communications
- Education: Academic assessment or credentialing
- Employment: Hiring decisions or performance evaluations
9. Intellectual Property Rights
9.1 Platform Intellectual Property
Kuverto retains all rights to the Platform, including software, algorithms, user interface, and proprietary AI technologies. No license is granted to Platform intellectual property except as necessary to use our services.
9.2 User Content Rights
- You retain ownership of original content you create
- You grant us a license to use your content to provide Platform services
- You are responsible for obtaining rights to all content used in AI training
- We may use anonymized usage patterns to improve our Platform
9.3 AI-Generated Content Rights
Rights to AI-generated content are complex and evolving. We make no warranties regarding ownership or protection of AI-generated content. You should not rely on copyright protection for AI outputs.
9.4 DMCA Compliance
We comply with the Digital Millennium Copyright Act. If you believe content on our Platform infringes your copyright, contact our DMCA agent at dmca@kuverto.com.
9.5 Trademark Policy
Users may not create AI Agents that infringe trademarks or create likelihood of confusion with existing brands without proper authorization.
10. Payment Terms & Subscriptions
10.1 Subscription Plans
- Free Tier: Limited AI Agent creation and usage
- Standard Plan: Enhanced features with usage limits
- Business Plan: Commercial features and higher limits
- Enterprise Plan: Custom solutions and dedicated support
10.2 Billing and Payments
- Subscriptions are billed monthly or annually in advance
- Usage-based fees are billed monthly in arrears
- All payments are non-refundable except as required by law
- Prices may change with 30 days' notice
- Failed payments may result in account suspension
10.3 Free Trial Terms
- Free trials may require payment method verification
- Trials automatically convert to paid subscriptions unless cancelled
- We reserve the right to modify or cancel trial offers
- One trial per customer unless otherwise specified
10.4 Refund Policy
Refunds are generally not provided for subscription fees or usage charges. Refunds may be considered for technical failures preventing service use or billing errors.
11. Platform Availability & Changes
11.1 Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. AI systems may experience downtime, rate limiting, or temporary unavailability.
11.2 Platform Changes
- We may modify, suspend, or discontinue features at any time
- Material changes affecting monetized AI Agents require 30 days' notice
- Emergency security updates may be implemented immediately
- Deprecated features will have reasonable transition periods
11.3 Third-Party Dependencies
Our Platform depends on third-party AI providers, cloud services, and payment processors. Service interruptions by these providers may affect Platform availability.
12. AI Disclaimers & Limitations
CRITICAL AI DISCLAIMER: AI systems are inherently unpredictable and may generate inaccurate, biased, harmful, or inappropriate content. You use AI features at your own risk.
12.1 AI Output Disclaimers
- Accuracy: AI-generated content may be factually incorrect or misleading
- Bias: AI systems may exhibit bias based on training data
- Appropriateness: AI may generate offensive, harmful, or inappropriate content
- Legal Advice: AI outputs do not constitute professional advice
- Currency: AI knowledge may be outdated or incomplete
12.2 User Responsibilities
- Review and verify all AI-generated content before use
- Implement appropriate content moderation and safety measures
- Provide clear AI disclosure to end users
- Monitor AI Agent behavior and outputs regularly
- Take immediate action to address harmful outputs
12.3 No Warranties
We provide no warranties regarding AI output quality, accuracy, safety, or fitness for any purpose. All AI features are provided "AS IS" without any express or implied warranties.
13. Limitation of Liability
MAXIMUM LIABILITY CAP: Our total liability to you for any and all claims is limited to the amount you paid us in the 12 months preceding the claim.
13.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages caused by AI-generated content or outputs
- Third-party claims related to your AI Agents
- Service interruptions or unavailability
- Security breaches or data loss
- End user actions or misuse of your AI Agents
13.2 AI-Specific Liability Limitations
- We are not responsible for AI-generated content or its consequences
- You assume all risks related to AI Agent deployment and monetization
- We are not liable for end user interactions with your AI Agents
- Third-party AI provider failures or limitations are not our responsibility
13.3 Jurisdictional Limitations
Some jurisdictions do not allow certain liability limitations. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
14. Indemnification
14.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Kuverto, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:
- Your use of the Platform and creation of AI Agents
- AI-generated content from your AI Agents
- End user interactions with your AI Agents
- Your violation of these Terms or applicable laws
- Your infringement of third-party rights
- Revenue earned from your monetized AI Agents
- Your failure to comply with AI safety requirements
14.2 Defense and Settlement
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.
14.3 Commercial AI Agent Indemnification
If you monetize AI Agents, you specifically indemnify us against all claims related to your commercial AI operations, including consumer protection violations, professional liability claims, and regulatory enforcement actions.
15. Data Usage & AI Training
15.1 Platform Improvement
We may use anonymized usage data and interaction patterns to improve our Platform. This includes analyzing AI Agent performance, user behavior patterns, and system optimization data.
15.2 AI Training Restrictions
- We do not use your proprietary content for AI model training without consent
- Third-party AI providers may have different training policies
- You can opt-out of certain data usage through account settings
- Anonymized safety and abuse data may be used for platform protection
15.3 Research and Development
We may use aggregated, anonymized data for research and development purposes to advance AI technology and improve our Platform capabilities.
16. Termination & Suspension
16.1 Termination by You
- You may terminate your account at any time through account settings
- Paid subscriptions continue until the end of the billing period
- You remain responsible for all charges incurred before termination
- AI Agents may be disabled immediately upon account termination
16.2 Termination by Us
We may suspend or terminate your account immediately for:
- Violation of these Terms or our policies
- Creation of harmful or dangerous AI Agents
- Fraudulent or illegal activities
- Failure to pay fees when due
- Repeated abuse or policy violations
- Risk to platform security or other users
16.3 Effect of Termination
- All AI Agents will be disabled and inaccessible
- Data may be retained for legal and regulatory compliance
- Outstanding payments remain due
- Certain provisions of these Terms survive termination
16.4 Data Export
You may export your AI Agent configurations and data before termination through available export tools. We are not obligated to provide data export after account termination.
17. Legal Compliance & AI Regulations
17.1 Regulatory Compliance
You are responsible for ensuring your AI Agents comply with all applicable laws and regulations, including:
- Consumer protection laws
- Data protection and privacy regulations (GDPR, CCPA, etc.)
- Industry-specific regulations (healthcare, financial services, etc.)
- Emerging AI governance and ethics regulations
- Accessibility requirements
- Content moderation and safety standards
17.2 Commercial AI Agent Compliance
If you monetize AI Agents, you must additionally comply with:
- Business licensing and registration requirements
- Tax obligations and reporting
- Consumer protection and refund policies
- Truth in advertising standards
- Professional liability and insurance requirements
17.3 International Use
If you deploy AI Agents internationally, you are responsible for compliance with the laws and regulations of each jurisdiction where your AI Agents are accessible.
17.4 Compliance Monitoring
We may monitor AI Agent behavior and content for compliance with these Terms and applicable laws. Non-compliant AI Agents may be suspended or terminated immediately.
18. Dispute Resolution
18.1 Informal Resolution
Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting our support team at legal@kuverto.com.
18.2 Binding Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
18.3 Class Action Waiver
YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION against us. Disputes must be resolved on an individual basis.
18.4 Injunctive Relief
Nothing in this section prevents us from seeking injunctive relief in court to protect our intellectual property or prevent misuse of our Platform.
19. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any legal action or proceeding relating to these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you irrevocably consent to such jurisdiction.
19.1 International Users
If you access our Platform from outside the United States, you acknowledge that your information may be transferred to, stored, and processed in the United States where our servers are located and our central database is operated.
20. Changes to Terms
20.1 Notification of Changes
- Material changes will be announced 30 days before taking effect
- Notice will be provided via email and platform announcements
- Continued use of the Platform constitutes acceptance of changes
- You may terminate your account if you disagree with changes
20.2 Emergency Changes
We may implement immediate changes to address security vulnerabilities, legal requirements, or to prevent harm to our Platform or users.
